This policy is made by Shoppy Nepal for product Suppliers regarding selling product via Shoppy Nepal’s website, mobile app, and social media.
In consideration of the foregoing premises and the mutual covenants hereinafter set forth and other valuable consideration, the Parties agree as follows:
Supplier hereby grants to Shoppy Nepal to use, promote, sell and distribute the Products at retail price to end-buyers for a period of one 6 month from the signing of this agreement.
Upon expiration of the Initial Term, this Agreement shall be automatically renewed for additional 6 months periods (the “Renewal Period(s)”) unless notice of termination is given by either party within thirty (30) days of the expiration of the Initial Term or then-current Renewal Period, as the case may be. Upon termination, all products and contents will be removed from Shoppy Nepal.
Shoppy Nepal shall retain the copyright and other intellectual property rights to use products’ photo, description, and contact details of supplier (if applicable) in mobile app, website, and social media.
Shoppy Nepal agrees to use its best efforts to promote the product using website, mobile app, Facebook, and Instagram. Supplier agrees that all promotion shall be dignified and in keeping with Shoppy Nepal’s reputation as a product owner. Shoppy Nepal consents to the use of Shoppy Nepal’s name, portrait, picture, photograph, and/or biography in such promotion, provided that suppliers won’t have the right to change any such promotion unless special consideration.
The price for each product will be the selling price of product in web content, but commission shall vary based on products. Suppliers should provide the wholesale price for individual product to Shoppy Nepal and then selling price of the product shall be determined by Shoppy Nepal.
Shoppy Nepal shall provide supplier a purchase order, (“PO”), through email and whatsapp after getting order from customer. And Supplier should provide product whether their business is close for any occasion/festival or any other reason.
Shoppy Nepal work to fulfil all orders within two (2) business days, unless noted differently to supplier prior to PO. Shoppy Nepal shall transfer payment to supplier upon bank clearance OR cash received of funds from order from customer.
Supplier shall provide Shoppy Nepal a Return Authorization of selected product. The buyer shall have two (2) days for damage assessment and return. This involve product verifying process to verify the ordered product for return. They won’t get their cash refunded, instead they must buy another product with same amount or can add some amount to get another. After two (2) days of buying, buyer shall own the product and shall not be eligible for a return policy.
Customer pay delivery expenses which is determined by Shoppy Nepal. Suppliers are not involved in delivering activity. Costs of delivery may vary for product according to its size and dimension, and weight with respect to the location of customer.
Shoppy Nepal shall bear the cost of insuring the Work against loss, theft or damage from the time of shipment from supplier to customer.
Supplier represents and warrants that:
During the term of this Agreement or within six (6) months subsequent to the termination of this Agreement by either Party.
This Policy constitutes the entire agreement between Supplier and Shoppy Nepal concerning the subject matter hereto and supersedes any and all prior agreements or understandings, (whether written or oral). This Agreement shall be binding upon the parties hereto, their heirs, successors, assigns, and personal representatives. This Agreement constitutes the entire understanding between the parties. Its’ terms can be modified only by an instrument in writing signed by both parties. A waiver of a breach of any of the provisions of this Agreement shall not be construed as a continuing waiver of other breaches of the same or other provisions hereof.
